Welcome to WA Portal. These Terms of Service ("Terms") govern your access to and use of our website, products, and services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

You may use the Service only if you can form a binding contract under applicable law and are authorized to act on behalf of your business or organization. If you use the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

WA Portal provides tools to connect a WhatsApp Business Account, manage contacts, build message templates, and send and receive messages through the WhatsApp Business API.

3. Accounts and Registration

You are responsible for providing accurate registration information and for keeping your account credentials secure. You are responsible for all activity under your account, including actions of your team members and integrations you authorize. You must promptly notify us if you suspect unauthorized access or a security incident affecting your account.

4. Acceptable Use

You agree not to use the Service to send spam, unsolicited marketing, or any content that violates WhatsApp's Business Messaging Policy, Commerce Policy, or applicable law.

  • Sending unlawful, deceptive, harassing, abusive, or fraudulent communications.
  • Messaging users without required consent, or failing to honor opt-out requests.
  • Attempting to bypass rate limits, platform restrictions, or security controls.
  • Uploading malware, reverse engineering the Service, or interfering with system integrity.

5. Third-Party Services

The Service relies on third-party providers including Meta Platforms, Inc. and its WhatsApp Business API. Your use of those services is also subject to their terms.

6. Fees and Payment

Certain features may require paid plans. Unless otherwise stated in a separate order form, fees are billed in advance on a recurring basis and are non-cancelable and non-refundable, except where required by law. You authorize us (and our payment processors) to charge your selected payment method for applicable subscription fees, usage charges, taxes, and any related costs. You are responsible for all applicable taxes, duties, and government charges, excluding taxes based on our net income.

7. Intellectual Property

We retain all right, title, and interest in and to the Service, including software, documentation, and related intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes. You retain ownership of content you submit to the Service, and you grant us a limited license to host, process, and transmit that content as needed to provide and support the Service.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, created security or legal risk, or if required by law or third-party platform rules. Upon termination, your right to use the Service ends, and we may delete or disable access to account data in accordance with our data retention practices and legal obligations.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You will defend, indemnify, and hold harmless WA Portal and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, your breach of these Terms, or your violation of applicable law or third-party rights.

11. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of courts located in India, unless otherwise required by applicable consumer protection law.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
